1. Introduction

These Terms and Conditions (“Terms”) govern your use of our containerized ocean freight transportation services and equipment sales (“Services”). By using our Services or purchasing from our platform, you (“Shipper”, “buyer”, “you”, or “your”) agree to be bound by these Terms.

Over 8 years of industry experience and deep knowledge of international standards, technological changes, and shipping containers allows us to dedicate our business to providing the best and most economical shipping containers to our valued customers.

2. Cargo Acceptance and Limitations

2.1 Restricted Cargo: We reserve the right to refuse transport of any Cargo deemed unsafe, illegal, hazardous, perishable, or otherwise unsuitable for containerized shipping. Please refer to our prohibited items list for details.
2.2 Packing and Labeling: You are responsible for ensuring your Cargo is properly packed, labeled according to international regulations, and adequately secured to withstand ocean travel and intermodal transit.
2.3 Accurate Information: You warrant that all information provided regarding the Cargo, including total weight, dimensions, declaration of value, and content description, is accurate and complete. Discrepancies may result in transit delays, cargo holds, and additional administrative charges.

3. Shipper’s & Buyer’s Responsibilities

3.1 Documentation: You are responsible for obtaining all necessary licenses, permits, customs declarations, and documentation required for the legal import and export of your Cargo or structural containers.
3.2 Customs Clearance: You are responsible for arranging for customs clearance at both origin and destination ports. Any delays, container abandonment issues, or charges related to customs compliance are your sole responsibility.
3.3 Duties and Taxes: You are responsible for all duties, taxes, tariffs, and other statutory charges associated with the Cargo or container purchase payable to the relevant port or government authorities.

4. Liability & Conventions

4.1 International Conventions: Our liability for loss or damage to your Cargo is strictly governed and limited by international conventions governing carriage by sea, such as the Hague-Visby Rules, unless explicitly agreed upon otherwise in writing.
4.2 Limitation of Liability: To the maximum extent permitted by law, containersvent.com is not liable for any indirect, consequential, special, or incidental damages (including loss of profits or business interruption) arising from the transportation, delay, or delivery of your Cargo or container.

5. Transit Delays

5.1 Commercially Reasonable Efforts: We will use commercially reasonable efforts to transport your container and cargo on schedule. However, arrival times are estimates. We are not liable for delays caused by factors beyond our control, including:
- Severe weather conditions and marine hazards
- Mechanical or vessel failures
- Labor disputes, strikes, or port congestion
- Acts of God (e.g., natural disasters, pandemics)
- Government restrictions, sanctions, or customs inspections
5.2 Communication: We will make every reasonable effort to keep you informed of any logistical delays impacting your shipment timeline.

6. Payment Terms

6.1 Full Payment Required: You are responsible for the full payment of all freight charges, terminal fees, container purchase costs, and associated logistics expenses before the Cargo or container is released at the destination port or yard.
6.2 Payment Methods: We accept various secure payment methods as listed on our website checkout. Late payments or outstanding balances may be subject to standard interest charges, port demurrage, and/or terminal storage fees.

7. Indemnification

You agree to indemnify, defend, and hold containersvent.com, its officers, partners, and employees harmless from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable attorney fees) arising out of or related to:

Your breach of these Terms.
Any act or omission related to your Cargo, including customs non-compliance, improper packing, or direct violations of maritime or local law.

8. Termination

containersvent.com reserves the right to terminate these Terms, cancel pending unfulfilled service agreements, or refuse to provide future Services to any entity or individual at any time, with or without cause.

9. Governing Law

These Terms shall be governed by, construed, and enforced in accordance with the laws of the State of Oregon, United States, without regard to its conflict of law principles.

10. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach thereof, shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The place of arbitration shall be Portland, Oregon, and the proceedings shall be conducted in English.

11. General Provisions

11.1 Entire Agreement: These Terms constitute the entire agreement between you and containersvent.com regarding our Services and supersede all prior or contemporaneous communications, negotiations, and proposals, whether oral or written.
11.2 Amendment: We may amend these Terms at any time by posting the revised version on our website. Your continued use of our Services following the posting of amended Terms constitutes your explicit acceptance of those changes.
11.3 Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
11.4 Waiver: Our failure to enforce or exercise any provision of these Terms shall not be construed as a waiver of our right to enforce such provision at a later time.
